Terms of Service — ProviderPrep

1. Acceptance & Entity

By clicking “Sign Up,” accessing, or using ProviderPrep (“Service”), you form a binding contract with Accelintel, Inc, 4508 Everett Dr., Nashville, TN 37203 (“Accelintel,” “we,” “us”).

2. Eligibility

You must (a) be 18 years or older and (b) reside in the United States. You may create an account for yourself or for an employer-paid seat, but you represent that you have authority to bind that entity.

3. Service Description

ProviderPrep uses large-language-model techniques to surface public and third-party data about healthcare prospects and organizations. Outputs are probabilistic and may be inaccurate or offensive; do not rely on them as professional, medical, legal, or financial advice.

4. License & Intellectual Property

4.1 Your Inputs

You grant Accelintel a world-wide, perpetual, irrevocable, royalty-free right to use prompts, feedback, and generated content to (i) provide and improve the Service including model training, (ii) enforce policies, and (iii) comply with law.

4.2 Our Content

All software, model weights, and aggregated datasets remain the exclusive property of Accelintel and its licensors. You receive a non-sublicensable, non-transferable right to access and view outputs solely for your internal sales enablement. Any attempt to extract model parameters, benchmark competing systems, scrape, or spam is strictly prohibited and grounds for immediate termination.

5. Acceptable-Use Rules

• Reverse-engineer or probe model weights;
• Use automated means to copy or index the Service;
• Generate disinformation, discriminatory content, or unsolicited bulk messages;
• Violate export-control laws or U.S. sanctions.

6. Subscriptions, Billing & Refunds

Individual and Enterprise seat plans auto-renew monthly until cancelled. Fees are non-refundable except as required by law. Price changes are announced 30 days in advance and take effect on your next renewal.

7. Termination

Either party may terminate at any time; we may suspend or terminate immediately for AUP violations or risk of harm.

8. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS.” We disclaim all warranties, and our aggregate liability will not exceed the greater of (a) fees paid in the prior 12 months or (b) $100.

9. Indemnity

You will defend and hold Accelintel harmless from third-party claims arising from your misuse of the Service or violation of these Terms.

10. Dispute Resolution

Mandatory arbitration; className-action waiver. Any dispute will be resolved by binding arbitration administered by National Arbitration and Mediation (NAM). Claims must be brought individually, not as a className. Venue and governing law: state and federal courts in Davidson County, Tennessee (exclusive for any action not subject to arbitration).

11. Export Compliance

You may not access or use the Service if you are located in or ordinarily reside in embargoed countries or are on U.S. sanctions lists.

12. Modifications

We may update these Terms; material changes will be posted at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
